Flight Levels
Every key level in this trade was known before the first print. The tension: fundamentals point ~28% below the deal price while flow mechanics — a small float, forced index buying, scarce borrow — point above it.
The altitude band
Perverse mechanic worth memorizing: strength is self-limiting. A close ≥30% above deal price at first earnings releases an additional 10% of insider shares — the better it trades, the more supply arrives.
Why the gap exists
| Force | Dir. | Mechanism |
|---|---|---|
| Index inclusion | ▲ UP | Nasdaq-100 / FTSE Russell fast-track days after listing; passive + benchmark-neutral active could absorb ~17% of the $75B deal |
| Tiny early float | ▲ UP | Insiders locked; scarce borrow makes shorting near-impossible early — squeeze fuel |
| 30% retail allocation | ▼ DN | Unusually large — the usual "retail missed out" opening scramble may already be satisfied |
| Valuation | ▼ DN | ~$1.3T SOTP vs $1.8T ask ≈ 28% premium to estimated fair value |
| Cash burn | ▼ DN | −$9.1B FCF in Q1; the $75B raise covers ~2 years at run-rate |
| Unlock calendar | ▼ DN | Up to 100% of insider supply released across 180 days in 8 tranches |
Four Ways The Debut Trades
Illustrative priors, set pre-debut. The first two hours of tape — does the opening high hold? — collapse these probabilities fast. Constraint honored throughout: no new-issue allocation, aftermarket only, borrow scarce and options ~a week away.
- Confirms
- Opens $155–165, fails to retest the opening high inside the first 1–2 hours
- Expression
- Stand aside / exit longs into the open; fade via puts once options list (~T+7) toward $135–145
- Invalidated by
- Reclaim of the opening high on expanding volume
- Confirms
- Holds above the opening range into hour two; index-buy headlines feed the bid
- Expression
- Momentum long after the range settles, trailing stop, small size; never short into it
- Invalidated by
- Loss of the opening-range low; first earnings + 20–30% unlock cluster
- Confirms
- Opens near $135–145 and ranges — the retail allocation truly absorbed demand
- Expression
- Range-trade tight risk; once options list, sell rich IV via defined-risk spreads
- Invalidated by
- Range break on volume in either direction
- Confirms
- Starship failure / FAA action, lawsuit ruling, or Cursor announcement gaps the stock
- Expression
- Trade the calendar, not the direction: reduce gross into known dates, spreads to cap IV cost
- Invalidated by
- N/A — managed by sizing, not by stops
The 180-Day Unlock Staircase
The real story isn't day one — it's eight dated supply events. Cumulative insider shares eligible for sale, by trigger:
Cumulative insider unlock · % of locked supply
Reading the staircase: the only structurally supply-free window is the first ~6 weeks — exactly when index demand peaks. From E1 onward, every rally walks into a scheduled seller. The author of the source analysis plans to trim into early strength and rebuy after the lockup waves — the chart is why.
What Blows The Plans Up
Fundamental fault lines
| Risk | Exposure | Why it matters |
|---|---|---|
| NAACP lawsuit · Colossus gas turbines | ~$26B/yr | Anthropic ($1.25B/mo) + Google ($920M/mo) compute leases are the revenue story; an adverse ruling hits the AI-infrastructure narrative directly |
| Starship / FAA | Headline gap | V3 booster failure already drew a grounding; each launch is a binary public event |
| Cash runway | ~8 qtrs | $75B raise ÷ $9.1B/qtr burn ≈ 2 years; first earnings makes the burn rate a quarterly public spectacle |
| Cursor right ($60B) | Two-sided | AI-story fuel if announced — but more dilution/burn; 30-day clock from listing |
Execution fault lines
| Friction | Window | Discipline |
|---|---|---|
| No borrow | d0–d10+ | Don't plan a short you can't locate; fades are exits, not positions, until options list |
| Rich IV | d7 onward | Fresh mega-IPO vol is priced for chaos — naked straddles lose even when right; use spreads |
| LULD halts / wide spreads | Hour 1 | No market orders at the open; let the opening range print first |
| Unlock-into-earnings cluster | E1 | Biggest single supply + information event; reduce gross beforehand regardless of view |
| Compliance | Always | Industry-restricted persons trade aftermarket only; pre-clear, respect holding periods |
The One-Page Discipline
Flight phases · entry posture by window
| Phase | Window | Bias | Action template |
|---|---|---|---|
| IGNITION | Day 1, hour 1 | None | Watch only. Mark the opening print, high, low. No market orders. |
| ASCENT | d1 – ~d40 | Flow ▲ | Trade with the squeeze if the open holds; trailing stops; never short the float scarcity. |
| MAX-Q | E1 ± a week | Volatile | Reduce gross into the earnings + 20–30% unlock cluster. Spreads over naked premium. |
| STAGE SEP | d70 – d135 | Supply ▼ | Sell rallies into each tranche date; let scheduled sellers set the ceiling. |
| ORBIT | Post-d180 | Value | Full float, real price discovery. The patient entry the source analysis itself waits for. |
